Dizishop Distributor Agreement
Effective Date: [01-04-2026]
This Distributor Agreement (“Agreement”) is made between:
Dizishop (www.dizishop.in), hereinafter referred to as the “Company”,
AND
The Registered Distributor, hereinafter referred to as the “Distributor”.
By registering as a distributor on Dizishop, you agree to the following terms and conditions:
1. Appointment
The Company appoints the Distributor on a non-exclusive basis to promote and sell products listed on Dizishop through approved channels.
The Distributor is not an employee of the Company and operates independently.
2. Eligibility
To become a Distributor, you must:
- Be at least 18 years old
- Provide accurate personal and business details
- Comply with all applicable laws and regulations
- Not engage in fraudulent or misleading activities
3. Distributor Responsibilities
The Distributor agrees to:
- Promote Dizishop products ethically and legally
- Not misrepresent product details, pricing, or offers
- Maintain proper communication with customers
- Not engage in spam, fake orders, or illegal promotions
- Protect login credentials and account information
4. Orders & Payments
- All orders must be placed through official Dizishop systems
- The Company reserves the right to accept or reject any order
- Payment terms (Prepaid/COD) will be defined by the Company
- Distributors must not collect unauthorized payments
5. Commission & Earnings
- Distributors will earn commission based on successful orders
- Commission structure may vary and will be communicated separately
- Payments will be processed on a weekly/bi-weekly basis (customizable)
- The Company may hold or cancel commissions in case of:
- Returned orders
- Fake or fraudulent transactions
- Policy violations
6. Refunds & Returns
- Refunds and returns will be handled as per Company policy
- Commission on returned/refunded orders may be deducted
- The Distributor must cooperate in resolving customer issues
7. Use of Brand
- Distributors may use the Dizishop name/logo only for promotion
- Any misuse of brand identity may result in termination
- Creating fake websites/pages representing Dizishop is strictly prohibited
8. Confidentiality
Distributors must not share:
- Internal pricing or commission structures
- Customer data
- Business strategies or system details
9. Account Suspension / Termination
The Company reserves the right to suspend or terminate a Distributor account if:
- Any fraudulent activity is detected
- Terms of this Agreement are violated
- Misuse of platform or brand occurs
No prior notice is required in serious cases.
10. Limitation of Liability
The Company is not responsible for:
- Loss of profit due to business decisions by the Distributor
- Delays caused by third-party services
- Technical issues beyond reasonable control
11. Modification of Terms
Dizishop may update this Agreement at any time. Continued use of the platform means acceptance of updated terms.
12. Governing Law
This Agreement shall be governed by the laws of India. Any disputes will be subject to jurisdiction of [Panipat Haryana] courts.
